Terms of Service

Please read these Terms of Service ("Terms") carefully before using the MainStreet Lift portal (the "Service"). The Service is currently operated as an independent beta project under the name MainStreet Lift ("MainStreet Lift," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, do not use the Service.

1. Service Description

MainStreet Lift is a software platform that scans and organizes publicly available business opportunities from government agencies, nonprofit organizations, private companies, foundations, financial institutions, and other third-party sources. These opportunities may include grants, loans, tax relief, incentives, contracting opportunities, certifications, training programs, business support resources, and other programs. MainStreet Lift surfaces potential matches based on the business profile information you provide. We act as an information aggregator and discovery tool only. We are not affiliated with, endorsed by, or acting on behalf of any opportunity provider unless expressly stated. MainStreet Lift is currently offered as a beta project and may be modified, suspended, or discontinued at any time.

2. No Guarantee of Awards, Eligibility, or Outcomes

All opportunity listings and match results are provided for informational and discovery purposes only. MainStreet Lift does not provide legal, tax, accounting, financial, grant-writing, procurement, or other professional advisory services. Any information provided through the Service should not be relied upon as professional advice.

MainStreet Lift does not guarantee:

  • that you are eligible for any listed program;
  • that any program is currently accepting applications or has available funding;
  • that applying will result in an award, approval, certification, contract, loan, grant, tax benefit, or other outcome;
  • the accuracy, completeness, or timeliness of program information.

Opportunity listings may not reflect the most current status, deadlines, requirements, or funding availability of any program. Data is aggregated from third-party sources and may be delayed, incomplete, inaccurate, or outdated. If there is any conflict between information shown in the Service and information provided by the relevant opportunity provider or official source, the opportunity provider's or official source's information controls.

You are solely responsible for verifying eligibility requirements, deadlines, funding availability, application instructions, and all other details directly with the relevant opportunity provider or official source before applying, participating, or taking action.

3. Account and Eligibility

To use the Service you must provide a valid email address and complete the onboarding profile. You agree to provide accurate, current, and complete information and to keep it updated. You must be at least 18 years old and legally authorized to operate the business you register. You are responsible for all activity that occurs under your account.

4. Fees and Payment

MainStreet Lift is currently offered free of charge during the beta period. We will not charge you unless pricing is clearly presented and you choose to purchase a paid plan or paid feature. Future paid services, if any, will be subject to the pricing and billing terms shown at the time of purchase. Any payments are processed by Stripe; we do not store your payment card information. Fees are non-refundable except as required by law or as expressly stated in a refund policy.

5. Acceptable Use

You agree not to:

  • use the Service for any unlawful purpose;
  • attempt to scrape, crawl, or systematically extract data from the Service;
  • interfere with or disrupt the integrity or performance of the Service;
  • share your account credentials with third parties;
  • submit false or misleading business profile information.

6. User Content and Business Profile Information

You retain ownership of business profile information and other content you submit to the Service. By submitting information, you grant MainStreet Lift a limited, non-exclusive, worldwide, royalty-free license to use, process, store, analyze, and display that information as necessary to operate, improve, and provide the Service, including running matching algorithms and generating opportunity recommendations.

7. Third-Party Links and Resources

The Service may contain links to third-party websites, applications, or resources. We are not responsible for the content, accuracy, availability, policies, or practices of any third-party websites or resources. Links do not imply our endorsement of or affiliation with those third parties.

8. Intellectual Property

All content, features, and functionality of the Service — including but not limited to text, software, logos, and data compilations — are owned by MainStreet Lift and are protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

9. Account Termination

You may deactivate your account at any time from the Account Settings page. We reserve the right to suspend or terminate your access to the Service at our discretion if we believe you have violated these Terms or if we discontinue the Service.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MAINSTREET LIFT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION — ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Illinois, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Illinois.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by a prominent notice on the Service. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes.
